Professional Development Session May The Force Be With You: The legalities, practicalities, and realities of Force Majeure Presenter: Brian Taylor Goldstein, Esq., GG Arts Law (see bio above) In a galaxy far, far away there are standard contract terms that are acceptable to everyone and ensure nothing can ever go wrong. Sadly, we do not live in that galaxy. In our world, unanticipated situations beyond anyone’s control can cause cancellations and economic losses. These are called Acts of God or Force Majeure events. While, understandably, everyone wants to minimize the risks and losses from such cancellations—particularly as we continue to climb our way out of the black hole of COVID—many parties are crafting blanket, draconian force majeure clauses that are not only impractical, ineffective, and pointless, but legally unenforceable. In this session, we will discuss the actual legal concept of “force majeure”, why a force majeure clause is not the same thing as a cancellation clause, alternatives for managing risks and losses, and why "thinking about this all wrong everyone is."
